3. Intellectual Property

3.2 Client Intellectual Property

Clients retain all rights to their pre-existing intellectual property. Any intellectual property developed specifically for a client under a written agreement will be governed by the terms of that agreement.

4. Client Responsibilities

5. Payment Terms

We will invoice according to the schedule outlined in the service agreement. Payment is due within thirty (30) days of the invoice date unless otherwise agreed in writing.

5.3 Late Payments

Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6. Confidentiality

Both parties acknowledge that they may have access to confidential information of the other party. Each party agrees to:

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Orman Residential LLC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Our total liability shall not exceed the amount paid by you for services in the twelve (12) months preceding the claim.
